São Paulo, April 11, 2008 - LAEP Investments Ltd. which produces, processes, sells and distributes milk and dairy products, by means of its indirect subsidiary Só-Nata Indústria e Comércio de Produtos Alimentícios S/A ("Só-Nata"), in compliance with CVM Instruction 358, as of January 03, 2002, announces to its shareholders and the market that, on the present date, it has completed the acquisition of the the milk and dairy-product production and sales business from Cooperativa Agro Pecuária Vale do Rio Doce Ltda., located in the City of Governador Valadares, State of Minas Gerais, through the acquisition of one hundred percent (100%) of the shares issued by Companhia de Alimentos Ibituruna S/A.
Initially, negotiations regarding the instruments of agreement were executed by the company Lácteos do Brasil S/A ("Lácteos"), controlling shareholder of Só-Nata, and said acts were fully disclosed to the regulating authority and to the market, taking into account that Lácteos assigned all rights derived from the transaction to Só-Nata at the present date.
The amount paid totaled thirty-eight million, one hundred seventy-one thousand Brazilian Reais (R$38,171,000.00). Estimated annual revenues of the business acquired in 2007 were one hundred sixty-six million Brazilian Reais (R$166,000,000.00), which strengthens the Company's market position in Minas Gerais, Rio de Janeiro, the Northeastern region (especially the state of Bahia) and Espírito Santo.
